In CentOS 6.x try
yum reinstall kernel*-* grub*
after you chroot to your root partition. See unofficial FAQ on how to chroot. Check also for SELINUX.

You can also boot with Netboot and fix from there.

Our dedicated server (CentOS 6.5) stopped working. I ordered KVM and seen throws error on boot about missing file. I entered rescue and seen the kernel in grub.conf is different than kernel available in /boot/ dir.
I installed new kernel with yum and changed grub.conf to use it, now i get this error:

Booting from local disk....
PXE-M0F: Exiting Intel Boot Agent
and boot stops after this error.

How can i properly install a kernel from rescue-pro ?
